1. The Service
ApexPitCore is a software-as-a-service platform that helps auto repair shops manage repair orders, estimates, invoices, customer records, inventory, and team operations. The service is provided by ApexPitCore LLC (“ApexPitCore,” “we,” “us,” or “our”).
2. Accounts and Access
You must provide accurate registration information and keep it current. You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
You may not: share login credentials with individuals outside your organization; use automated scripts to access the service except through our official API; or create accounts for the purpose of abuse or circumventing usage limits.
3. Subscriptions and Payments
ApexPitCore charges subscription fees based on the plan you select. Fees are billed in advance on a monthly or annual cycle. All fees are in USD unless otherwise stated.
Payment is processed through Stripe. By providing payment information, you authorize us to charge your payment method for the subscription fees and applicable taxes.
Refunds: We do not provide refunds for partial subscription periods. If you cancel, your access continues until the end of your current billing period. We may offer refunds at our discretion in cases of billing errors or exceptional circumstances. Contact [email protected] with questions.
We reserve the right to change subscription pricing with 30 days' advance notice to account holders.
4. Acceptable Use
You agree not to use ApexPitCore to:
- Violate any applicable law or regulation
- Store, transmit, or process data that you do not have the right to use, including personal data without appropriate consent
- Introduce malicious code, viruses, or conduct denial-of-service attacks
- Attempt to gain unauthorized access to any part of the service or other accounts
- Reverse engineer, decompile, or attempt to extract the source code of the service
- Use the service to send unsolicited communications in violation of TCPA, CAN-SPAM, or other applicable laws
- Misrepresent the origin of any information entered into the service

5. Data Ownership
Your data belongs to you. You retain all ownership rights to the customer data, vehicle records, repair orders, and business data you enter into ApexPitCore.
You grant ApexPitCore a limited license to store, process, and transmit your data solely as necessary to provide the service. We do not use your business data to compete with you or to market to your customers.
Upon cancellation, you may export your data through the platform for 30 days. After that period, data is deleted according to our Data Retention Policy, except where retention is required by law.
6. No Business, Legal, Tax, or Repair Advice
You are solely responsible for the accuracy and legality of estimates, invoices, repair authorizations, and communications you send to your customers through ApexPitCore. We strongly recommend consulting licensed professionals for legal, tax, and regulatory compliance matters specific to your business.
7. Uptime and Service Availability
We aim to provide reliable, high-availability service, but we do not guarantee uninterrupted access. The service is provided “as is” and “as available.” We may perform scheduled maintenance with advance notice where possible.
We are not liable for losses arising from service interruptions, data unavailability, or third-party provider outages (including Stripe, Twilio, or cloud infrastructure providers).
8. Account Suspension and Termination
We may suspend or terminate your account for:
- Non-payment of fees after a 7-day grace period
- Violation of these Terms or the Acceptable Use Policy
- Activity that poses a security risk to the service or other users
- Receiving a valid legal order requiring us to do so
If we suspend your account for reasons other than non-payment or legal order, we will provide at least 5 days' notice except in cases of serious security violations. You may appeal a suspension by contacting [email protected].
You may cancel your account at any time through the platform settings.
9. Intellectual Property
ApexPitCore, its software, design, trademarks, and content are owned by ApexPitCore LLC and protected by applicable intellectual property laws. Your subscription gives you a limited, non-exclusive, non-transferable right to use the service during the subscription term.
10. Confidentiality
We treat your business data as confidential. Our employees and contractors access customer data only as necessary to provide support or maintain the service, and are bound by confidentiality obligations.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEXPITCORE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow exclusion of certain warranties or limitations on liability, so the above may not apply to you in full.
12. Indemnification
You agree to defend, indemnify, and hold harmless ApexPitCore LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service in violation of these Terms; (b) data you enter into the platform; or (c) your violation of applicable laws or third-party rights.
13. Dispute Resolution
Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Informal Resolution. Before initiating any formal dispute, you agree to contact us at [email protected] and give us 30 days to attempt informal resolution.
Binding Arbitration. If informal resolution fails, all disputes, claims, or controversies arising out of or relating to these Terms or your use of the service shall be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English, and any hearing shall take place in Los Angeles County, California, or via video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER. YOU AND APEXPITCORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Opt-Out. You may opt out of the arbitration agreement by emailing [email protected] within 30 days of first creating your account, stating your name, account email, and that you are opting out of arbitration. If you opt out, disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
Small Claims. Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
